1. Acceptance
These Terms of Service ("Terms") form a binding contract between you ("you" or "User") and Dealifi, an unincorporated brand operating under the entity identified at support@dealifi.io doing business as "Dealifi" ("Dealifi," "we," "us," or "our"). By accessing, using, downloading, or purchasing any Dealifi product or service, you accept these Terms in full. If you do not agree, do not use Dealifi.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract under your applicable law. By using Dealifi you represent that you meet these requirements. Dealifi is intended for use within the United States only.
3. Account & Security
Some features (subscriptions, saved deals, portfolio dashboards) require an account. You agree to (a) provide accurate registration information, (b) keep your password and credentials confidential, (c) notify us promptly of any unauthorized use, and (d) take responsibility for all activity under your account.
4. Purchases & Payments
One-time digital product purchases are processed through Lemon Squeezy (Stripe-backed) and similar third-party payment processors. Subscriptions are billed monthly or annually as elected. You authorize us (and our processor) to charge your payment method for the agreed amount, plus any applicable taxes. All prices are in U.S. dollars. Sale prices are time-limited and may end without notice.
5. License Grant
Upon successful payment, we grant you a limited, non-exclusive, non-transferable, revocable license to use the purchased Dealifi product solely for your own internal business purposes (including LLC formation, deal analysis, syndication, or operations of your own business). This license is conditioned on your continued compliance with these Terms.
6. Prohibited Uses
You may NOT:
- Resell, sublicense, or redistribute any Dealifi product, in whole or in part
- Remove Dealifi or Dealifi branding, copyright notices, or disclaimers
- Reverse-engineer, decompile, or attempt to extract source code from any Dealifi software, AI prompt, or workflow
- Use any Dealifi product, content, output, or AI tool to train, fine-tune, or develop a competing AI model or service
- Scrape, crawl, or automate access to Dealifi without express written permission
- Use Dealifi to facilitate unlawful, fraudulent, defamatory, or harmful activity
- Bypass any Dealifi access control, paywall, rate limit, or security mechanism
- Misrepresent Dealifi products as attorney work product, CPA work product, or licensed professional advice when delivered to third parties
- Use Dealifi products in violation of any applicable law or regulation
7. AI Tools (Dealani & Related)
Dealifi AI tools (including "Dealani") are powered by third-party large language models. AI outputs may contain errors, omissions, or inaccuracies, and are NOT reviewed by licensed professionals before delivery. You use AI outputs at your own risk and must verify all material outputs with qualified professionals. AI usage is subject to fair-use limits per subscription tier (specified in product pages). Excessive or abusive usage may result in throttling or account suspension.
8. Free Tier & Free Tools
The free Apartment Dealizer and similar free calculators are provided as lead-generation tools without warranty. We may modify, discontinue, or paywall any free feature at any time. Save functionality is reserved for paid tiers.
9. Subscriptions, Renewals & Cancellation
Subscriptions auto-renew at the end of each billing period until cancelled. You may cancel any time from your account dashboard or by emailing support@dealifi.io. Cancellation stops future billing but does NOT entitle you to a refund for the current billing period (other than annual-plan 14-day refund described in our Refund Policy). Upon cancellation, you may lose access to subscription-only features at the end of the current period.
10. Data & Content
You retain ownership of any data, documents, deal information, or other content you upload or input ("Your Content"). By using Dealifi you grant us a non-exclusive license to process Your Content as necessary to deliver the service (including running calculations, generating AI outputs, and storing your saved deals). We do NOT sell Your Content to third parties. We may use aggregated and anonymized data for product improvement, market research, and benchmarking. See our Privacy Policy for details.
11. Trademarks & Branding
"Dealifi," "Dealani," "Dealizer," "It's a done deal.," and related logos and marks are trademarks or service marks of Dealifi. You may not use these marks without prior written permission, except for factual reference (e.g., "I use Dealifi for my LLC docs").
12. Termination
We may suspend or terminate your account or license at any time for any reason, including violation of these Terms, with or without notice. Upon termination, your right to use Dealifi products ceases, but Sections 5 (License — surviving the limit), 7-8 (Liability), and 14-16 of the Legal Disclaimer survive.
13. Disclaimer Incorporation
Our Legal Disclaimer is fully incorporated into these Terms by reference. The Legal Disclaimer governs (among other things) warranty disclaimers, limitations of liability, indemnification, tax disclaimers, securities disclaimers, and dispute resolution. Read it carefully.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute is subject to the dispute resolution provisions of our Legal Disclaimer (informal negotiation, then binding individual arbitration via AAA in Harris County, TX, with class-action waiver).
15. Changes to Terms
We may update these Terms at any time. The "Last updated" date reflects the most recent revision. Continued use after changes constitutes acceptance.
